OpenAI says unapproved transfers and SPV interests are void
OpenAI has published that transfers of its stock without company approval are void, and that it does not recognise SPV, tokenised or forward-contract interests sold without its consent. Before relying on any offer of OpenAI exposure, ask for written evidence of the company's approval.
- OpenAI says all of its equity is subject to transfer restrictions, that any transfer without its written consent is void, and that SPV interests, tokenised interests and forward contracts sold without approval will not be recognised and may carry no economic value. [2]
- In May 2026, tokens marketed as indirect OpenAI and Anthropic exposure fell sharply after both companies said the SPV structures behind them breached their transfer restrictions. [3]

How exposure to OpenAI has existed
- Company-approved primary rounds, which have been institutional and invitation-only; the March 2026 round also raised about $3bn from individuals through bank channels.
- Company-run tender offers, where approved investors buy from employees.
- Funds and listed companies that hold OpenAI equity directly, where the exposure is to the fund or company rather than to OpenAI shares.
- An eventual IPO; a draft registration statement was submitted confidentially in June 2026.
What an investor actually owns
- OpenAI recapitalised on 28 October 2025: the for-profit became OpenAI Group PBC, a public benefit corporation controlled by the nonprofit OpenAI Foundation, which received a stake of about 26%. Employees and investors held about 47% at that point. [7]
- Microsoft said its investment in OpenAI Group PBC was worth about $135bn after the recapitalisation, roughly 27% on an as-converted diluted basis, before the 2026 rounds. [8]
Questions to ask about any OpenAI offer
- Who is the seller, and is the person offering you OpenAI exposure authorised to represent them?

- Can they show written approval from OpenAI for this transfer? The company says transfers without it are void.
- What happens at an IPO or sale: distribution in kind, sale by the manager, lock-up treatment?
