Databricks has not published an SPV policy
We found no published Databricks policy on SPVs or unapproved transfers. That is not the same as approval: late-stage private companies typically require board consent for transfers and hold a right of first refusal. Ask how any vehicle's interest traces to shares on the company's cap table.
- In July 2026 a broker launched Databricks exposure through an SPV holding a stake in a third-party fund that owns the shares, so the shareholder of record remains that fund. A Databricks spokesperson said the company had no engagement or relationship with the broker. [2]
- We found no published Databricks policy on SPVs or unapproved transfers comparable to Anthropic's, OpenAI's or Stripe's. Secondary platforms describe Databricks transfers as needing company approval and subject to a right of first refusal, which we could not confirm from a Databricks source. [3]

How exposure to Databricks has existed
- Primary rounds, which have been institutional.
- Employee liquidity funded by primary raises, with institutional investors as buyers.
- Fund-of-fund and multi-layer SPV products that hold an interest in a fund owning Databricks shares; the company says it has no relationship with at least one such product.
What an investor actually owns
- The August 2026 round valued Databricks at $190bn, eight months after its Series L at $134bn. A Form D filed on 27 August 2026 reports about $5.0bn of equity sold with a first sale on 12 August 2026. [6]
- Databricks has repeatedly paired primary raises with employee liquidity rather than running separate investor-led tenders. [5]
Questions to ask about any Databricks offer
- Who is the seller, and is the person offering you Databricks exposure authorised to represent them?
- Does the vehicle already hold the shares, or is it still raising? Which share class sits underneath?
- How many vehicles sit between you and Databricks's cap table, and what does each charge (upfront, annual, carry)?
- Is the transfer subject to a right of first refusal or company approval, and has either been cleared?
- What happens at an IPO or sale: distribution in kind, sale by the manager, lock-up treatment?

Frequently asked questions
- Is Databricks planning an IPO?
- It has not filed. In August 2026 its CEO said Databricks intends to go public eventually but that being public now would be too much distraction.
- What is the latest Databricks valuation?
- $190bn, set by a $5bn round announced on 13 August 2026 and led by Coatue; a Form D confirms about $5.0bn of equity sold.
- Does Databricks recognise third-party SPVs offering exposure?
- Databricks has not published a policy page like Anthropic's or OpenAI's.
