Anthropic says unapproved transfers and SPV interests are void

Anthropic has published that transfers of its stock without company approval are void, and that it does not recognise SPV, tokenised or forward-contract interests sold without its consent. Before relying on any offer of Anthropic exposure, ask for written evidence of the company's approval.

  • Anthropic says any sale or transfer of its stock, or any interest in it, not approved by its board is void and will not be recognised on its books. It does not permit SPVs to acquire its stock, treats transfers to SPVs as void, and warns about forward contracts and tokenised securities. [2]
  • In May 2026 Anthropic publicly named eight firms, including well-known secondary platforms, that it said were not authorised to trade its shares; at least one disputed being named. [3]

How exposure to Anthropic has existed

  • Primary rounds, which have been institutional and by invitation.
  • Company-run tender offers and buybacks for current and former employees, with approved investors as buyers.
  • Funds and listed companies that hold Anthropic stock directly, where the exposure is to the fund or company.
  • An eventual IPO; a draft S-1 was submitted confidentially in June 2026.

What an investor actually owns

  • Anthropic is a Delaware public benefit corporation. A Long-Term Benefit Trust holds Class T stock that lets it elect a phased-in number of directors, eventually a board majority. [7]

Questions to ask about any Anthropic offer

  1. Who is the seller, and is the person offering you Anthropic exposure authorised to represent them?
  2. Does the vehicle already hold the shares, or is it still raising? Which share class sits underneath?
  3. How many vehicles sit between you and Anthropic's cap table, and what does each charge (upfront, annual, carry)?
  4. Can they show written approval from Anthropic for this transfer? The company says transfers without it are void.
  5. What happens at an IPO or sale: distribution in kind, sale by the manager, lock-up treatment?

Frequently asked questions

Has Anthropic gone public?
No. It confidentially submitted a draft S-1 on 1 June 2026, but as of 7 October 2026 no public S-1 is on EDGAR and no offering terms have been announced.
Can an SPV hold Anthropic shares?
Anthropic's published position is that it does not permit SPVs to acquire its stock and that transfers to an SPV are void under its transfer restrictions. Treat any offer of Anthropic exposure through an SPV, token or forward contract with great caution.
What was the most recent private valuation of Anthropic?
The Series H in May 2026 raised $65bn at a $965bn post-money valuation. An employee tender completed in April 2026 at a $350bn pre-money valuation.
What governance features matter to Anthropic shareholders?
Anthropic is a public benefit corporation, so its directors may balance shareholder returns against its stated public benefit, and a Long-Term Benefit Trust elects a growing share of the board.
