Can UK investors buy pre-IPO shares or US SPVs?
In the UK, promoting unlisted shares or an SPV to an individual must be done or approved by an FCA-authorised firm, or fall within a Financial Promotion Order exemption such as the certified high net worth (art. 48) or self-certified sophisticated investor (art. 50A) regimes. Arranging the deal is itself a regulated activity.

The financial promotion restriction
FSMA section 21 prevents an unauthorised person from communicating a financial promotion unless an authorised person approves it or an exemption applies. Articles 48 and 50A of the FPO cover promotions of unlisted company shares and similar instruments to certified individuals, with the investor statement signed within the previous 12 months. FCA Handbook
Certified high net worth individual (art. 48)
Income of at least £100,000 in the last financial year, or net assets of at least £250,000 throughout it. The January 2024 increase to £170,000 / £430,000 was reversed with effect from 27 March 2024. Walker Morris
Self-certified sophisticated investor (art. 50A)
At least six months in a business angel network, more than one unlisted-company investment in the last two years, professional work in private equity or SME finance, or a directorship of a company with turnover of at least £1 million. Freeths
Unlisted shares: restricted mass market rules
When an authorised firm promotes unlisted shares to retail clients, FCA rules require a 24-hour cooling-off period, a personalised risk warning, investor categorisation and an appropriateness assessment, and ban incentives. FCA Handbook
Pooled vehicles: non-mass market rules
Unregulated collective investment schemes, which some SPVs may be, cannot be promoted to retail clients except within narrow exemptions for certified high net worth and sophisticated investors, with a suitability assessment and cooling-off period. FCA Handbook
Arranging deals is regulated
Arranging deals in investments, and making arrangements with a view to transactions in investments, are regulated activities that need FCA authorisation when carried on by way of business in the UK, unless an exclusion applies. FCA Handbook

Frequently asked questions
- What are the UK high net worth thresholds in 2026?
- Income of at least £100,000 in the last financial year, or net assets of at least £250,000 throughout it. They were briefly raised in January 2024 and restored from 27 March 2024.
- Can a UK investor be shown a US pre-IPO SPV?
- Only through an FCA-authorised firm or within an FPO exemption, such as a valid high net worth or sophisticated investor statement signed in the last 12 months. If the SPV is an unregulated collective investment scheme, further restrictions apply to authorised firms.
- Is self-certification enough?
- It can satisfy the art. 50A exemption if you meet one of its four criteria. Authorised firms must still apply the FCA's cooling-off, risk-warning, categorisation and appropriateness or suitability rules.
